If you are a service provider acting in your professional capacity, the following terms do not apply to you. Please review the Professional Terms of Use located here, which establish the sole and exclusive legally binding contract between you and Feeel regarding the Services.

Agreement to terms

Agreement to Terms. Thank you for visiting the FEEEL VR website at www.feeel.io (the "Site"). These terms of use ("Terms") constitute a legally binding contract between FEEEL NY INC, a company incorporated in Delaware, and our affiliates (collectively referred to as "FEEEL VR," "we," or "us") and you, in relation to your use of all properties (web, mobile, VR headsets or otherwise) owned or operated by FEEEL VR (collectively referred to as the "Properties"), as well as all products and services available from FEEEL VR service providers (referred to as "Pros"), or other third parties in connection with the Properties (individually and collectively referred to as the "Services"). By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please refrain from using the Services.

Please note that these Terms include a class action waiver, a disclaimer of warranties, a disclaimer of liability, as well as a release and indemnification by you.

Changes to Terms. Any changes to these Terms will be effective immediately upon posting. Please review these Terms each time you use the Services, as your continued use of the Services after such changes will constitute your acceptance of and agreement to the revised Terms. You also waive any right you may have to receives pacific notice of such changes.

Consent. By using the Services, you affirm that you are at least 18 years of age and possess the legal capacity to enter into and comply with these Terms. If you are accessing and using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such a situation, "you" and "your" will refer to both you and that entity.

Our Privacy Policy. Our Privacy Policy, which explains how we collect and use information from our users, can be found at the link titled "Privacy Policy" on our homepage and other locations within the Services.

Our services

Services We Provide. FEEEL VR connects party hosts and service providers of all types (individually referred to as a "Pro," collectively referred to as "Pros"). We assist party hosts in discovering inspiring photos, learning about new trends, and selecting a Pro based on their preferences.

Use of Content. The text, images, data, illustrations, files, audio and video clips, designs, documents, and other materials and content (collectively referred to as the "Content")on the Site are the property of FEEEL VR and may be protected by copyright and other restrictions. Copyrights and other proprietary rights in the Content may also be owned by parties other than us. You may not copy, modify, distribute, or otherwise use any of the Content, except for your personal and non-commercial use. Please note that we may remove any Content from the Site at our sole discretion and at any time.

Commercial Use is Restricted. Unauthorized commercial publication or exploitation of the text, images, documents, materials, or any other Content is prohibited without our express written consent. If you wish to use any of the Content for commercial use, publication, or any purpose other than personal use, you must obtain our written permission prior to such use. We may, at our sole discretion, grant permission for such use on a case.

We may, at our sole discretion, grant permission for such use on a case-by-case basis. Please contact us at hello@feeel.io if you have any inquiries regarding commercial use of our Content.

User Responsibilities. When using the Services, you agree to comply with all applicable laws and regulations. You are solely responsible for your use of the Services, including any content you submit, and you agree not to engage in any activity that may:

1. Violate any laws or regulations;
2. Infringe upon or violate the rights of others;
3. Misrepresent your identity or impersonate any person or entity;
4. Interfere with or disrupt the Services or servers or networks connected to the Services;
5. Transmit any viruses, malware, or other harmful code;
6. Collect or store personal data about others without their consent;
7. Engage in any fraudulent or deceptive activity;
8. Use the Services for any illegal or unauthorized purpose;
9. Engage in any activity that could harm or damage the reputation of FEEEL VR or its users.

Intellectual property

FEEEL VR Ownership. FEEEL VR retains all rights, title, and interest in and to the Services, including all intellectual property rights associated with the Services. Except as expressly granted in these Terms, no rights or licenses are granted to you.

User Content. By submitting or posting any content on the Services (including but not limited to photos, reviews, comments, or other materials), you grant FEEEL VR anon-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Services. You represent and warrant that you have all necessary rights to grant this license and that your content does not infringe upon or violate the rights of any third party.

Third-Party Content. The Services may contain content provided by third parties, including Pros and other users. FEEEL VR does not endorse or guarantee the accuracy, completeness, or reliability of any third-party content. Your use of third-party content is at your own risk.

Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FEEEL VR DISCLAIMS ALL WARRANTIES,INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL CODE. FEEEL VR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

IN NO EVENT SHALL FEEEL VR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OFTHE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF FEEEL VR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify and hold FEEEL VR and its affiliates, officers, directors, employees, and agents harmless from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

Termination

FEEEL VR may, at its sole discretion, suspend or terminate your access to the Services at any time for any reason. Upon termination, these Terms will survive, and the right sand licenses granted to you herein will remain in force until explicitly terminated by either party.

Governing Law & Jurisdiction

These Terms and any dispute arising out of or in connection with the Services shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Services shall be exclusively brought in the courts located within[Jurisdiction], and you hereby consent to the personal jurisdiction of such courts.

Changes to the terms

FEEEL VR reserves the right to modify or revise these Terms at any time, and such changes will be effective immediately upon posting the updated Terms on the Services. It is your responsibility to review the Terms periodically to stay informed of any updates. Your continued use of the Services after the posting of any changes constitutes your acceptance of the modified Terms.

Miscellaneous

These Terms constitute the entire agreement between you and FEEEL VR regarding the Services and supersede all prior or contemporaneous understandings and agreements. If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed severed from these Terms and the remainder of the Terms will continue to be valid and enforceable. FEEEL VR's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
